Adam S. Clavell

Adam S. Clavell received a B.A. from Providence College, as a double-major in Chemistry and History. He received his law degree from Franklin Pierce Law Center in 1997. He has experience with two-party and triangular mergers, acquisitions, public offerings, private placement offerings, Resales of Restricted Securities, ‘33 Act Registration Statements, ‘34 Act Voluntary Registration Statements and Section (12) filings, as well as in the areas of general corporate law, banking and mortgage lending and civil litigation. Since joining N&S, Adam has assisted a number of companies, both American and foreign, in going public through securities offerings, mergers and voluntary registration. Thomas J. DiSanto

Thomas J. DiSanto graduated cum laude from Providence College in 1993 with a bachelor's degree and received his law degree with honors from Suffolk University Law School in 1997. Before joining N & S, Tom was an associate at Gunning, LaFazia & Gnys practicing insurance defense litigation. His current practice is concentrated in the areas of insurance defense litigation, general civil litigation, corporate, banking and securities law. James V. Kelly

James V. Kelly graduated with honors from the University of Massachusetts (Dartmouth) in 1984, and received his law degree from Suffolk University in 1988. Before joining N & S in 1998, Jim served for eight years as Corporate Counsel to one of the largest privately held U.S. companies in the petroleum/convenience store industries, qualifying for the Forbes 500 list of top private companies and being one of the top five (5) privately held companies headquartered in the State of Rhode Island. He has experience in commercial and residential real estate, banking and mortgage lending, corporate law, employment and labor law, and creditors' rights. Richard Nadeau, Jr.

Richard Nadeau, Jr. graduated with honors from Colby College in 1979 and from Georgetown University Law School in 1982. During law school, Rick was a law review editor and a clerk at several law firms, including Tobin & Silverstein in Providence, Goldstein & Manello in Boston, and King & Newmyer in Washington, D.C. After graduating from Georgetown, Rick was admitted to the District of Columbia bar and became associated with King & Newmyer. Although Rick is no longer actively practicing in Washington, he remains a member of the D.C. bar. In 1982, Rick relocated to Rhode Island and became associated with the Providence law firm of Wistow, Barylick & Bruzzi, where he was responsible for the majority of the firm's commercial litigation. Rick started the firm in 1985 and, since then, has engaged in a successful practice concentrating in corporate law, commercial lending and creditors' rights. James R. Simmons

James R. Simmons graduated magna cum laude from the University of Hartford in 1985 and received his law degree from George Washington University in 1988. Before joining N & S, Jim practiced with Tillinghast Collins & Graham in its corporate, commercial and real estate departments. Jim serves on the Banks and Trusts Committee of the Rhode Island Bar Association and his practice is concentrated in the areas of corporate law, banking and commercial law, mortgage lending, venture capital, private placements and real estate, bankruptcy, and creditors' rights. Mark T. Thatcher, J.D./M.B.A.

Mr. Thatcher has participated as a legal and capital formation advisor for a number of public and privately held companies. He has concentrated in the practice areas of securities registration, public offerings, private placement, mergers, acquisitions & divestitures, capital markets, corporate finance, offshore corporations, and venture capital. He has participated directly in eight public offerings, filed over thirty private placements and engages in business development and capital formation activities for domestic and international companies.

Mr. Thatcher was "Of Counsel" to Daniel P. Edwards, Hughes and Dorsey, et al., an "AV" rated Colorado-based law firm. The firm was "Of Counsel" to Hughes & Dorsey, Denver, Colorado, Heron Burchette, Washington, D.C. and Sparks, Dix and Enoch, Colorado Springs, Colorado (1991-1996).

Mr. Thatcher attended the University of Denver where he earned a Juris Doctor (1991) and Masters in Business Administration (1991). He is presently a member of the State Bar of Colorado; Court of Appeals, District of Columbia; Committee Member of the Securities Forum, Colorado and Washington, D.C. Bar Associations, Member of the Business Section, Securities Forum, Tax Section and Estate and Probate Section, American Bar Association; Committee Member of the Franchising Forum, American Bar Association; Member, Business Section and Securities Section, Colorado and D.C. Bar Associations; and Member of the American Society of International Law. He is an honorary member of Alpha Kappa Delta, Sutton Award candidate, and recipient of the E.V. James L. Truslow

James L. Truslow received his B.A. degree in economics in 1979 from the University of Texas at Austin, and he received his law degree in 1986 from the University of Texas School of Law. Before joining N & S, Jim served for several years as Vice President and Corporate Counsel for a privately held real estate development company, based in East Providence, Rhode Island. He previously was engaged in private practice with the Providence law firms of Partridge, Snow & Hahn and Winograd, Shine & Zacks. Jim has significant experience in both residential and commercial real estate, mortgage lending, zoning, subdivision, environmental, administrative and corporate law.
